Recourse and Nonrecourse Loans

Collateral answers what secures the loan; recourse answers who remains responsible when collateral is insufficient.

Definition

A recourse loan allows the lender, subject to the documents and law, to pursue the borrower or guarantor beyond the property collateral. A nonrecourse loan generally limits ordinary repayment claims to the collateral, while retaining negotiated exceptions commonly called carve-outs.

Beginner Explanation

If a property is sold after default and the sale does not repay the loan, recourse determines whether the lender may seek the shortfall from other assets of a responsible party. Nonrecourse does not mean there are no promises. Fraud, misuse of funds, unauthorized transfers, bankruptcy actions, or other specified conduct may activate liability.

Analysts review the borrower entity, guarantor, payment guaranty, completion guaranty, environmental indemnity, carry guaranty, and nonrecourse carve-out guaranty.
